User Agreement

This User Service Agreement (hereinafter referred to as "this Agreement") applies to the use of all services related to KoiNavi (hereinafter referred to as "the Service") provided by OLA PARTY JAPAN Co., Ltd. Before using the Service, please be sure to carefully read and understand this Agreement and other related agreements, policies, or rules of this platform. When using specific functions of the Service, separate independent agreements, related business rules, etc. (hereinafter referred to as "Individual Agreements") may exist for such specific functions. In case of conflict between the content of this Agreement and Individual Agreements, the provisions of the Individual Agreements shall prevail. All the aforementioned clauses and rules constitute an inseparable part of this Agreement (hereinafter collectively referred to as the "Entire Agreement") and have the same legal effect as the text of this Agreement.

Before using the Service, please carefully read and fully understand all clauses of the Entire Agreement (minors under the age of 18 must be accompanied by a legal representative), especially the clauses displayed in bold. If a user agrees to this Agreement by clicking confirm, selecting a checkbox, etc., or actually uses the Service, it shall be deemed that an agreement regarding the Entire Agreement has been established between the user and our company, and the user accepts all the aforementioned clauses and their application conditions and agrees to be bound by the Entire Agreement. If you cannot agree to any content of the Entire Agreement, or if you cannot accurately understand our company's interpretation of the clauses of the Entire Agreement, please click "Disagree" or stop using the Service.

Article 1 Application of Terms

If any provision of this Agreement is deemed to violate relevant laws and regulations applicable to the contract concluded with the user based on this Agreement, such provision shall not apply to the contract with said user within such scope, but it shall not affect the validity of other provisions of this Agreement.

Article 2 Service Content

The Service is based on generative artificial intelligence models and may use other models and services in combination to provide users with artificial intelligence generation technology services and other services. Note that the content generated by the Service is for reference only, and users must not use the output content for professional advice, commercial purposes, or other purposes. The results and responsibilities arising from judgments made by the user based on the output content or subsequent related operation acts based thereon shall be borne entirely by the user. This includes risks arising from reliance on the truthfulness, accuracy, reliability, non-infringement, or fitness for a particular purpose of the output content, and risks arising from using the output content for commercial purposes. Users shall recognize generative artificial intelligence technology scientifically and rationally and use it in accordance with laws and regulations.

Article 3 Definitions

In these Terms of Service, the following terms are defined as follows:

• Content: All information input by the user through the Service (e.g., personal information, messages, etc.).
• Personal Information: Information input by the user through the Service (e.g., profile picture, nickname, gender, etc.).
• User: An individual who has agreed to this Agreement in accordance with the registration procedures prescribed by our company, completed user registration for the Service, and has the qualification to use the Service.
• Paid Service: A collective term for paid member functions that users voluntarily apply for in the Service.

Article 4 Warranty and Modification of Service Content

We do not guarantee that there are no defects or errors in the provided service content. In addition, we may change, suspend, or abolish the content of the Service without prior notice to the user. However, if there is a significant impact on membership fees or other user service usage, a reasonable prior notice period shall be provided, and such notice may be displayed on the Service's website or by other methods prescribed by us.

We do not guarantee that the Service is compatible with all personal computers, smartphones, tablet terminals, etc., and operating systems. In addition, we assume no responsibility for any damages incurred by the user due to the inability to use the Service caused by the user's environment.

Article 5 Account Management

Before using the Service, users shall register through a third-party account according to the on-screen instructions. Before starting to register and use KoiNavi products and services, users confirm that they are natural persons, legal entities, or other organizations with full civil rights capacity and behavioral capacity appropriate for the civil acts they engage in. If you do not have such subject qualification, please do not use the Service. Otherwise, the user and their legal representative shall bear all consequences arising therefrom, and we have the right to delete (permanently freeze) the user's account and claim damages from the user and their legal representative.

In registering and using an account, the user promises and guarantees the following:

• Bear full responsibility for the truthfulness, legality, and validity of registration information, update registration information in a timely manner, and do not register an account or use the Service by impersonating others.
• Strictly manage the account and password and bear legal responsibility for all acts performed under said account.
• Do not engage in malicious account registration acts, including but not limited to frequent registration and bulk registration.
• Do not transfer, lend, lease, or provide the account to others for use in any form.

Since the account is the only valid identification for the user to seek and obtain services through the KoiNavi platform, please strictly manage the account and password. To enable users to better use various services of this platform and to ensure the security of user accounts, this platform may require users to implement authentication (e.g., real-name authentication) based on this Agreement, user rules, and relevant laws and regulations.

Article 6 User Responsibilities and Obligations

• Users shall use the Service based on their own responsibility and bear full responsibility for the content they post.
• If a dispute or claim for compensation arises due to the use of another person's copyrighted work, etc., the user shall compensate us for all losses and bear the responsibility for resolving the dispute themselves.
• Users shall bear the risk related to the management and storage of accounts and passwords themselves, and shall not allow third parties to use, lend, transfer, change the name of, or buy and sell them. We assume no responsibility for any disputes or claims for damages arising from the theft of KoiNavi accounts by third parties, alteration or falsification of user content, unauthorized viewing of personal information, etc.
• In the process of using the Service, users may collect information about other users (including but not limited to other users' personal information and information contained in posted content; hereinafter referred to as "User Information"). Unless permitted by us, users shall not use this information for any purpose other than using the Service, and shall not disclose or leak it to third parties during or after the use of the Service.
• Users acknowledge that we have the right to claim damages from the user if damage is caused to us by acts violating the provisions of this Article.

In any of the following cases, we may suspend or interrupt the use of all or part of the Service without prior notice to the user.

• When performing periodic or emergency inspection or maintenance work on computer systems related to the Service.
• When computers, communication lines, etc. stop operating due to an accident.
• When the operation of the Service becomes impossible due to force majeure such as fire, power outage, natural disaster, etc.
• When a failure occurs in logging into the Service, the Service is interrupted or suspended, or specifications are changed.
• When a failure occurs in important functions such as service login and payment.
• Other cases where we determine that suspension or interruption is necessary.

We assume no responsibility for any damages incurred by the user due to measures taken by us based on this Article.

Article 7 Prohibited Matters

Users are prohibited from performing the following acts, and must not post documents or images or send messages (hereinafter referred to as "Transmission, etc.") containing or potentially containing any of the following contents. In addition, if we determine that a user has violated any of the prohibited matters, we may delete the transmitted content, suspend the use of all or part of the Service, or take other measures.

• Acts where information provided to us or posted on the Service (including cases provided through attached services) does not match the facts.
• Acts violating laws and regulations of Japan or the user's country/region of residence in using the Service.
• Acts of posting information that violates social norms, public order and morals, infringes on the rights of others, or causes trouble to others.
• Acts of slandering or harassing other customers.
• Acts of using other users' information obtained through the use of the Service for improper purposes such as harassment, abuse, or injury, or contacting others by other methods or for purposes violating or potentially violating this Agreement or laws and regulations outside the Service, or advertising, soliciting, or selling other products or services without obtaining the prior explicit consent of the relevant user.
• Acts of posting programs, etc. that destroy or interfere with the functions of others' software, hardware, etc.; acts of destroying or interfering with our server or network functions.
• Acts that interfere with or may interfere with the operation of our services (not limited to the Service) or advertisements posted by us (not limited to those related to the Service).
• Acts of collecting personal information of other users without permission.
• Acts of repeatedly registering and canceling membership within a short period of time.
• Acts of using the Service using another user's account.
• Acts violating the usage conditions of linked services (including guidelines, policies, help, precautions, and other regulations of linked services; the same applies hereinafter).
• Acts of registering multiple accounts simultaneously on the Service.
• Acts of providing benefits directly or indirectly to anti-social forces through our services.
• Acts of posting one's own or another person's name, address, telephone number, email address, etc.
• Acts of posting URLs of accounts on other websites and related services and guessable content, etc.
• Acts of exchanging currency between users.
• Acts of posting information regarding one's own physical characteristics or sexual orientation, etc. for sexual purposes.
• Solicitation for the purpose of compensated dating, prostitution, etc., or acts for the purpose of sexual intercourse and obscene acts.
• Acts of impersonating others or other organizations.
• Acts of explicitly or implicitly indicating that one has obtained our approval without obtaining our prior written approval.
• Acts that infringe or may infringe on the intellectual property rights, portrait rights, privacy rights, honor rights, or other rights or interests of us, other users, or other third parties.
• Acts of modifying, changing, licensing, translating, selling, analyzing, imitating, decoding, reverse compiling, reverse assembling, or similar acts regarding software, etc. related to the Service, or causing others to perform these acts.
• Acts of posting, etc. using automatic posting tools, etc., or searching for posts, etc. using patrol tools, etc.
• Acts of using the Service for commercial advertising, sales promotion, solicitation, or other commercial activities (including spam mail, information collection, etc.) without obtaining our prior written permission.

Acts of posting, etc. the following content:

• Content that we clearly judge to be offensive, such as promoting racism, prejudice, hatred, or physical harm of any form against specific groups or individuals.
• Content using third-party information (email address, photos, etc.) regardless of whether permission has been obtained from the person.
• Content harassing or instructing harassment against a third party.
• Content related to spam mail, chain mail, junk mail, etc.
• Content that is false, content that we judge may mislead other customers, or content that encourages abuse, threats, obscenity, or slanderous acts.
• Content that illegally or fraudulently reproduces copyrighted works of others, such as providing or linking to pirated computer programs, providing information to circumvent copy protection functions built into products, providing pirated music or linking to pirated music files, or content promoting such works.
• Content containing non-existent pages or pages accessible only with a password, or hidden pages or hidden images.
• Content providing explanations regarding illegal acts (e.g., manufacturing or purchasing illegal weapons, infringing on others' privacy, creating computer viruses, etc.).
• Content containing words encouraging inappropriate use of drugs.
• Content requesting passwords or personal information from other customers for commercial or illegal purposes.
• Content conducting commercial activities or sales acts such as contests, lotteries, barter, advertising, network marketing, or pyramid schemes without obtaining our prior written permission.
• Acts of lending one's own account or allowing others to use it. Even if the account is used by another person, all posts, etc. made using the user account are deemed to be acts of the user, and the user bears full responsibility for such acts and their results.
• Acts violating or potentially violating this Agreement.
• Acts violating public order and morals.
• Acts directly or indirectly causing or encouraging acts listed in the preceding items.
• Other acts that we judge to be inappropriate.

Article 8 Service Usage Restrictions

To protect customers of the Service from acts listed in Article 7 (Prohibited Matters) above, we may limit the number of messages a user can send through the Service within 24 hours. We reserve the right to limit the number of users to an appropriate number at our sole discretion and to refuse new user registration for the Service.

Article 9 Contract Period and Termination

This Agreement is valid as long as the user uses the Service, and no cooling-off period is provided. Users may terminate their user qualification at any time for any reason by sending an email to [email protected] and completing the procedures prescribed by us (e.g., identification procedures). However, please note that this Agreement does not terminate unless a withdrawal application is made according to the prescribed procedures or based on this Agreement.

If a user violates one or more provisions of this Agreement, violates the provisions of prohibited acts, or if we determine that there is a possibility that the user will perform such acts, we may immediately terminate the user qualification at any time.

If a user terminates or withdraws from the paid service while holding membership qualification, fees for the unused portion of the paid service usage period purchased before the user terminated or withdrew from the paid service will not be refunded.

Article 10 Prohibition of Re-use

If a user uses our service or data constituting the service for purposes other than the purpose of providing the Service, we have the right to request the suspension of such acts and reserve the right to claim an amount equivalent to the profit obtained by the user from such acts.

Article 11 Free Members, Paid Members, and Usage Fees

Some services and functions of the Service can be used for free. To use the Service and additional functions (e.g., unlimited replies), you must become a paid member of the Service. For details on paid service content including the latest paid membership plans, usage fees, and other conditions, please refer to the "Paid Contract". Please note that the subscription policy disclosed at the time of subscription to the service is part of this Agreement. Please note that changes or cancellations may not be accepted after application. Also, if you cancel the paid service applied for during the usage period, please refer to Article 9 regarding refund provisions. Please note that paid services are automatically renewed unless the user voluntarily stops automatic renewal.

Service prices are determined by multiple factors. We may regularly offer promotional discounts, and discounts may vary by region, subscription period, bundled content, etc. We also regularly test new functions and payment methods.

Article 12 Deletion of Posts, Suspension of Service, Account Deletion

Users bear full responsibility for content posted on the Service. When a user posts content, they represent and warrant that such content is (a) accurate, (b) not in violation of this Agreement, and (c) does not harm others in any way.

To properly operate the service provided by us, in the following cases, we may delete data or content, refuse use of all or part of the service, or delete the user's account without prior notice.

• When a user violates the provisions of this Agreement, or when we reasonably determine that there is a risk of such violation.
• When there is a delay in payment of the amount due to us.
• When the use of the credit card or bank account designated as the payment method for the Service is suspended.
• When we determine that the user's creditworthiness has deteriorated, such as when the user receives a petition for bankruptcy or civil rehabilitation proceedings, or when the user files such a petition themselves.
• When the account is registered or used by anti-social forces or their members or related parties, or when we determine that there is a risk of such a situation occurring.
• When the account or specific service has not been used for a certain period.
• In addition, when we determine that it is difficult to maintain the contractual relationship between us and the user, such as when the relationship of trust with the user is lost.

Article 13 Indemnification to the Company

If costs are incurred or compensation payments are made to us due to the user's acts, the user shall bear such costs, compensation, etc. (including costs necessary to restore trust and image and attorney's fees paid by us).

Article 14 Handling of User Data and Content

If necessary for the maintenance or improvement of the service, we may reproduce data and content posted by the user within the scope necessary for the maintenance or improvement of the service.

The copyright of content posted by the user (including but not limited to image data and text; hereinafter referred to as "Posted Content") belongs to the user or the poster of said Posted Content. The user grants us a perpetual, free, and non-exclusive right (including the right to sublicense) to use (including reproduction, screening, public transmission, exhibition, distribution, transfer, lending, translation, adaptation, publication) said Posted Content in Japan and abroad.

The user agrees that we may produce videos using the user's Posted Content, and in this case, the user grants us permission to use said Posted Content. The method of use of the Posted Content will be decided by our production department. We will publish videos using said Posted Content to users other than the user who posted said Posted Content in a manner that cannot identify individuals.

Users shall not exercise moral rights against us regarding Posted Content.

We do not allow other users or third parties other than the user themselves to use Posted Content, and prohibit users from engaging in any acts that infringe on the rights of other users' Posted Content. Also, users shall not automatically collect or analyze Posted Content using methods such as crawlers.

We do not guarantee any damages incurred by the user due to the use of other users' Posted Content. Also, if damage is caused to us by a user's use of other users' Posted Content, we have the right to claim damages from said user.

Article 15 Contact and Notification

Unless otherwise provided in this Agreement, users shall contact us through official contact points. If we determine that it is necessary to contact or notify the user, we will contact or notify by email or SMS to the email address and telephone number provided by the user at the time of registration. However, we assume no responsibility for any losses incurred due to the user not providing accurate contact information.

Article 16 Disputes Between Users

Users bear the risk related to the use of the Service themselves and bear full responsibility for interactions with other users of the Service. We reserve the right to monitor disputes between users and other customers but have no obligation to be involved in or monitor disputes between users and other customers.

Article 17 Privacy Policy

Users shall comply with our Privacy Policy in using the Service. Personal information (including sensitive personal information) provided by the user to us is stored on our computers. Users agree that we use this information to create profiles regarding user interests, preferences, and browsing patterns to enable users to participate in the service. Please refer to the Privacy Policy for details.

Article 18 Compliance with Local Laws and Regulations

In the process of using the Service, users shall comply with local relevant laws and regulations and respect local morals and customs. If a user's act violates local laws and regulations or moral customs, the user shall independently bear the responsibility for this.

If the user's country or region of residence prohibits or restricts all or part of the content of this Agreement, the user must immediately stop using the Service.

Users must ensure that their use of the Service does not involve us in political and public incidents. Otherwise, we have the right to suspend or terminate the provision of services to the user.

Article 19 Disclaimer

Except in cases of our intentional or gross negligence, we assume no responsibility. Also, if the contract regarding the use of the Service concluded with the user based on this Agreement falls under a consumer contract prescribed in the Consumer Contract Act, the above disclaimer does not apply, and we assume responsibility for damages within the scope of normally foreseeable damages, except when the damage is significant. Except in cases of our negligence, we assume responsibility for damages within the scope of normally foreseeable damages, and for paid services, the amount paid shall be the upper limit (for continuous services, the amount equivalent to one month's amount shall be the upper limit).

We do not guarantee that the Service fits the user's specific purpose, has the expected functions, commercial value, accuracy, and usefulness, and that the user's use of the Service conforms to laws and regulations applicable to the user. Also, we do not guarantee that the product will operate normally and that no problems will occur.

We make no representation or warranty regarding the accuracy or reliability of advice, opinions, statements, and other information posted through the Service by us, our affiliates, users, or other individuals or organizations. Users agree in advance to rely on such information at their own risk. Regardless of online or offline, we are not responsible for user acts. Please be careful when using the Service.

The Service can only be used within Japan and cannot be used outside Japan (including cases of access using an IP address outside Japan or other cases where we determine use outside Japan). We assume no responsibility for any damages incurred by the user due to the inability to use the Service outside Japan. Also, usage fees for paid services will not be refunded.

Article 20 Precautions for Service Usage

Since the number of users of the Service is unknown, the Service may be abused in some cases. Recognizing this possibility, please carefully consider how to interact with other users (especially other users exchanging messages) and how to disclose personal information when using the Service. If you discover a user suspected of violating this Agreement, please promptly use the "Report" button or contact us to report the violation.

Users agree that there is a possibility that disadvantageous situations may occur, such as actual friends, acquaintances, etc. discovering that the user is using the Service after registration.

Article 21 About Changes to Service and Terms of Use

We may change this Agreement as necessary. When changing this Agreement, we will implement appropriate change procedures according to the content of the change. In addition, in the following cases, when we notify customers of the content of the change and the effective date by an appropriate method, it is deemed that the customer has agreed based on the method of changing contract terms prescribed in Article 548-4 of the Civil Code.

• When the change conforms to the general interest of customers.
• When the change does not violate the purpose of the contract, and is necessary due to laws and regulations, tax system, economic situation, social situation, demand for the Service, our management environment, or other various situations, and the content of the change is appropriate.

Article 22 Applicable Law

This Agreement shall be governed by Japanese law and interpreted based on Japanese law.

Article 23 Court of Jurisdiction

In the event of a lawsuit regarding the Service between the user and us, the Tokyo District Court shall be the exclusive court of jurisdiction for the first instance.
